Service Agreement

Terms & Conditions

1. Acceptance of Terms

By accessing or engaging Digital Craft for software engineering, design, or web application services, you agree to be bound by these Terms and Conditions. If you do not accept all clauses outlined here, you must refrain from using our services.

2. Intellectual Property Rights

Upon full settlement of project invoices, all custom source code, graphic assets, and design compositions produced specifically for the Client shall transfer ownership to the Client.

  • Digital Craft retains ownership of pre-existing core engineering modules, proprietary helper scripts, and boilerplate architectures utilized across client projects.
  • We reserve the right to display completed project screenshots in our portfolio unless a strict NDA is executed prior to commencement.

3. Client Responsibilities

Clients must provide timely feedback, required media assets, branding guidelines, and credentials necessary for timely engineering milestones. Delays in asset provision may adjust final deployment deadlines.

4. Scope & Payment Schedules

All engineering proposals are provided with a fixed Statement of Work (SOW).

  • A 50% initial deposit is required prior to project kickoff.
  • The remaining 50% is due upon final staging server approval before code transfer or production DNS pointing.
  • Out-of-scope feature requests will be billed under our standard hourly engineering rate.

5. Limitation of Liability

Digital Craft shall not be held liable for indirect, incidental, or consequential damages resulting from server outages, third-party API downtime, or unauthorized user credential breaches outside our direct server control.

6. Termination & Governing Law

Either party may terminate a project agreement with 7 days written notice. In the event of early termination, the Client is billed for work completed up to the termination date. These terms are governed by the laws of the State of California, United States.
